Terms of Use

Please read these terms carefully before using the Kwd Offer network and services.

These Terms of Use ("Terms" or "Agreement") constitute a legally binding agreement between you (the "User", "Advertiser", or "Publisher") and Kwd Offer ("we", "us", or "our"), governing your access to and use of the Kwd Offer website, tracking platform, and performance marketing network (collectively, the "Services").

1. Acceptance of Terms

By registering an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all the terms and conditions of this agreement, you must not access the platform or use any of our services.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

Kwd Offer operates a performance-based affiliate marketing network. We provide a platform that connects advertisers looking to acquire users ("Advertisers") with third-party publishers and affiliates ("Publishers") who generate traffic and drive conversions (e.g., app installs, leads, deposits) for those Advertisers.

3. Account Registration & Security

  • Eligibility: You must be at least 18 years of age to participate in the Kwd Offer network.
  • Accuracy: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
  • Security: You are strictly responsible for safeguarding your account credentials. Kwd Offer will not be liable for any loss or damage arising from your failure to protect your account password.

4. Publisher Obligations & Compliance

If you are participating as a Publisher, you agree strictly to the following conditions:

  • Compliance with Laws: You must comply with all applicable local, national, and international laws, including but not limited to the FTC guidelines, GDPR, and anti-spam legislation.
  • Approved Traffic Only: You may only use promotional methods and traffic sources specifically approved for each individual campaign offer.
  • Prohibited Content: You will not place ads on websites containing illegal, violent, adult/pornographic, discriminatory, or copyright-infringing content.
  • No Incentivized Traffic: Unless explicitly permitted by the specific campaign offer, you may not offer users cash, rewards, or virtual currency in exchange for clicking a link or completing a conversion.

5. Anti-Fraud Policy

Kwd Offer maintains a strict Zero Tolerance Policy regarding fraud. Fraud includes, but is not limited to:

  • Use of bots, automated scripts, or click-farms.
  • IP spoofing, proxy usage, or VPN manipulation to mimic target geolocations.
  • Stolen credit cards or fake user information for lead generation.
  • Cookie stuffing or forced clicks.

Consequences of Fraud: If we, in our sole discretion, determine that a Publisher has engaged in fraudulent activity, Kwd Offer reserves the right to instantly terminate the Publisher's account, withhold any pending payouts, and forfeit all generated commissions without notice or right of appeal.

6. Payments and Billing

A. For Publishers (Payouts)

Kwd Offer will pay Publishers for valid, non-fraudulent conversions as tracked and verified by our system and the respective Advertiser. Payments are issued on standard Net-terms (e.g., Net-30, Net-15) as agreed upon with your Account Manager. Payments are subject to reaching a minimum payout threshold. Conversions rejected by the Advertiser ("scrubs") will not be compensated.

B. For Advertisers (Billing)

Advertisers agree to pay for all verifiable actions (installs, leads, deposits) generated through the network as per the Insertion Order (IO) or campaign agreement. Payments must be made strictly according to the agreed-upon invoicing schedule. Failure to pay may result in immediate campaign suspension and legal action.

7. Intellectual Property Rights

The Kwd Offer platform, its proprietary tracking technology, design, logos, and website content are the exclusive property of Kwd Offer and are protected by copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for the purpose of participating in the network.

8. Limitation of Liability

Kwd Offer provides the platform and services on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the continuous availability, accuracy, or reliability of the tracking platform. Under no circumstances shall Kwd Offer be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of your use of the network, including but not limited to lost profits or data loss.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kwd Offer, its affiliates, directors, officers, and employees from any claims, liabilities, damages, judgments, or expenses (including legal fees) arising out of your breach of these Terms, your violation of any law, or your marketing practices.

10. Termination

Either party may terminate this agreement at any time by providing written notice to the other party. Upon termination, your right to access the dashboard and use our tracking links will immediately cease. Sections regarding Confidentiality, Fraud, Intellectual Property, and Limitation of Liability shall survive termination.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes, controversies, or claims arising out of or relating to these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the courts located in Meerut, Uttar Pradesh, India.
